  3. Payment: Payment terms (including deposit, milestones, and final payment schedule) will be specified in the project agreement. Failure to make timely payments may result in project suspension or termination. All payments are due in Indonesian Rupiah (IDR) unless otherwise agreed.
  4. Intellectual Property: Upon full and final payment, Qulyubis Digital grants the client full ownership rights to the final, delivered website or application code and design specifically created for the client's project. Qulyubis Digital retains the right to use elements of the project for its portfolio and marketing materials. Any third-party assets (stock photos, plugins) used are subject to their respective licenses.
  5. Confidentiality: Both parties agree to keep confidential information shared during the project private and not disclose it to third parties without prior written consent.
  6. Warranties and Disclaimers: Qulyubis Digital warrants that services will be performed professionally. However, services are provided "as is" without warranties of merchantability or fitness for a particular purpose. We do not guarantee that websites or applications will be error-free or compatible with all future browser/platform updates beyond the scope defined in the project.
  7. Limitation of Liability: Qulyubis Digital's total liability under any agreement shall not exceed the total amount paid by the client for the specific project. We are not liable for any indirect, incidental, or consequential damages.
  8. Termination: Either party may terminate a project agreement with written notice if the other party breaches a material term. Specific termination conditions and consequences will be outlined in the project agreement.
  9. Governing Law: These terms and any project agreements shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
  10. Changes to Terms: Qulyubis Digital reserves the right to modify these terms at any time. Continued use of the site or services after changes constitutes acceptance of the new terms.

Kegagalan melakukan pembayaran tepat waktu dapat mengakibatkan penangguhan atau penghentian proyek. Semua pembayaran jatuh tempo dalam Rupiah Indonesia (IDR) kecuali disepakati lain.
  4. Kekayaan Intelektual: Setelah pembayaran penuh dan final, Qulyubis Digital memberikan hak kepemilikan penuh kepada klien atas kode dan desain situs web atau aplikasi akhir yang secara khusus dibuat untuk proyek klien. Qulyubis Digital berhak menggunakan elemen proyek untuk portofolio dan materi pemasarannya. Aset pihak ketiga (foto stok, plugin) yang digunakan tunduk pada lisensi masing-masing.
  5. Kerahasiaan: Kedua belah pihak setuju untuk menjaga kerahasiaan informasi rahasia yang dibagikan selama proyek dan tidak mengungkapkannya kepada pihak ketiga tanpa persetujuan tertulis sebelumnya.
  6. Jaminan dan Penafian: Qulyubis Digital menjamin bahwa layanan akan dilakukan secara profesional. Namun, layanan diberikan "sebagaimana adanya" tanpa jaminan dapat diperjualbelikan atau kesesuaian untuk tujuan tertentu. Kami tidak menjamin bahwa situs web atau aplikasi akan bebas dari kesalahan atau kompatibel dengan semua pembaruan browser/platform di masa mendatang di luar cakupan yang ditentukan dalam proyek.
  7. Batasan Tanggung Jawab: Total tanggung jawab Qulyubis Digital berdasarkan perjanjian apa pun tidak akan melebihi jumlah total yang dibayarkan oleh klien untuk proyek spesifik tersebut. Kami tidak bertanggung jawab atas kerugian tidak langsung, insidental, atau konsekuensial.
  8. Pengakhiran: Salah satu pihak dapat mengakhiri perjanjian proyek dengan pemberitahuan tertulis jika pihak lain melanggar ketentuan material. Kondisi dan konsekuensi pengakhiran spesifik akan diuraikan dalam perjanjian proyek.
  9. Hukum yang Mengatur: Syarat-syarat ini dan setiap perjanjian proyek akan diatur oleh dan ditafsirkan sesuai dengan hukum Republik Indonesia.
  10. Perubahan Syarat: Qulyubis Digital berhak mengubah syarat ini kapan saja. Penggunaan berkelanjutan atas situs atau layanan setelah perubahan merupakan penerimaan terhadap syarat baru.
